Welcome to NeoCru! These Terms of Service ("Terms") govern your use of our website and services. By accessing, browsing, or using NeoCru in any way, you agree to be legally bound by these Terms, as well as our Privacy Policy. If you do not agree to these Terms, please do not use our services.

1. Definitions

Service: The NeoCru platform, including all associated websites, products, features, and AI-powered tools designed to assist with recruiting activities.

User: Any individual or organization accessing or using the Service, including recruiters, companies, and job applicants.

Recruiter/Company: Users who post job openings, manage candidates, access applicant data, and use NeoCru's AI tools to assist with hiring.

Applicant: Users who submit applications for job opportunities listed on the Service. Applicants control the information they provide and can withdraw or delete their submissions at any time.

Talent Pool: An optional feature where applicants can consent to be proactively suggested to recruiters for roles they have not directly applied to. Talent Pool members maintain full control over their inclusion and can opt-out at any time.

AI Tools: Features powered by artificial intelligence that assist with activities like drafting job descriptions, matching candidates to jobs, and prioritizing applicants based on recruiter-specified criteria. These tools are advisory only — final hiring decisions remain with the recruiters.

Account: A registered profile associated with a User’s verified email address and personal or organizational information used to access the Service.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use our Service. By accessing or using NeoCru, you represent and warrant that you meet these eligibility requirements. If you are accessing NeoCru on behalf of an organization (e.g., as a recruiter or hiring manager), you also warrant that you have the authority to bind that organization to these Terms.

3. Description of the Service

NeoCru is a recruitment platform designed to help companies and recruiters attract, organize, and prioritize international English-speaking candidates in the Netherlands.

Important: NeoCru acts as a facilitator and technology provider. Final decisions regarding job applications, candidate selection, interviews, and employment offers are made solely by the recruiters or companies. NeoCru does not participate in the hiring process beyond providing tools and recommendations.

4. User Obligations and Responsibilities

Accurate Information: You agree to provide accurate, complete, and up-to-date information when creating your account or using the Service.

Responsible Use: Recruiters and companies must use the Service ethically and legally. When setting job requirements, posting job descriptions, or interacting with candidates, you must ensure compliance with all applicable laws (including anti-discrimination and equal opportunity laws).

Talent Pool Use: If you access candidates through NeoCru's Talent Pool feature, you agree to use their data solely for lawful hiring purposes. Misuse of candidate information may result in warnings, account suspension, or termination.

Compliance: You are solely responsible for ensuring your activities on NeoCru comply with GDPR, Dutch data protection regulations, and all other applicable laws.

Account Security: You are responsible for maintaining the confidentiality of your account credentials and for any activity that occurs under your account.

User-Generated Content Oversight: NeoCru reserves the right to review, monitor, and remove any content (such as job posts) that violates these Terms, applicable laws, or our values around fairness, inclusivity, and safety.

5. Data Protection and Privacy

Commitment to Privacy: NeoCru is fully committed to protecting your personal data and complies with all applicable data protection regulations, including the GDPR and Dutch laws (AVG).

Data Usage: All information collected through the Service is processed and stored in accordance with our Privacy Policy. We encourage all users to review the Privacy Policy carefully.

Exercising Your Rights: Users have rights under applicable law regarding their personal data, including the rights to access, correct, restrict, or delete their information. Wherever possible, NeoCru enables users to exercise these rights directly through their account settings. In rare cases where users cannot self-manage, we may request verification or supporting information before processing requests manually.

6. AI Usage and Limitations

6.1 AI Assistance for Recruiters
Job Description Drafting: NeoCru’s AI tools assist recruiters in drafting and refining job descriptions based on the input criteria provided. The AI may suggest improvements, rephrase for clarity, and help ensure key requirements are presented transparently.

Verification of Requirements: NeoCru’s AI can review job listings to help recruiters verify that the stated requirements match the job description. This verification is intended to promote consistency and fairness in job postings.

Talent Pool Recommendations: For candidates who opt into our Talent Pool, NeoCru’s AI may assist in identifying and recommending suitable candidates to recruiters based on the job criteria provided. These recommendations serve only as suggestions — recruiters maintain full discretion over any contact or hiring decisions.

6.2 Limitations and Disclaimers
Assistive Role Only: All AI features are assistive tools. Final responsibility for the accuracy, completeness, and fairness of job descriptions, hiring decisions, and candidate evaluations remains with the recruiter or company.

No Guarantees of Accuracy: While we strive for the best AI outputs, NeoCru cannot guarantee that every AI-generated suggestion or verification will be accurate, legally compliant, or suitable for all hiring scenarios. Recruiters are expected to review and adjust AI suggestions before use.

No Automated Rejections or Decisions: NeoCru does not automatically accept, reject, or otherwise make employment decisions about applicants. All candidate selection, communication, and hiring activities are managed solely by recruiters.

Applicant Data Handling: NeoCru does not collect additional data from applicants beyond what they voluntarily submit. We respect the privacy and dignity of all candidates using the platform.

7. Prohibited Conduct

By using NeoCru, you agree that you will not, directly or indirectly:

Any violation of these Terms may result in immediate suspension or termination of your account, removal of any associated content, legal action, and/or reporting to appropriate authorities.

8. Intellectual Property

The NeoCru platform, including but not limited to its text, graphics, logos, icons, software code, AI models, features, and overall design, is owned by NeoCru or its licensors and is protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Except as expressly permitted by us in writing, you may not copy, modify, distribute, reproduce, publish, license, create derivative works from, or sell any part of the Service or its content.

You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for its intended purposes in accordance with these Terms. Any unauthorized use of the Service may result in the termination of your access and potential legal action.

9. Indemnification

You agree to indemnify, defend, and hold harmless NeoCru, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including attorneys’ fees) arising from:

10. Disclaimers and Limitation of Liability

“As Is” and “As Available”: The Service is provided on an “as is” and “as available” basis, without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

No Guarantee of Accuracy or Results: NeoCru does not warrant that the Service, including AI tools, will be uninterrupted, error-free, secure, or produce specific outcomes. Any reliance you place on AI suggestions or platform outputs is solely at your own discretion and risk.

Recruiter and Candidate Responsibility: NeoCru facilitates connections and improves workflows but does not make hiring decisions. All hiring and employment decisions are made independently by recruiters or companies.

Limitation of Liability: To the fullest extent permitted by law, NeoCru shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, business interruption, or reputational harm arising from your use of the Service.

Maximum Liability Cap: In no event shall NeoCru’s total cumulative liability to you for all claims related to the Service exceed one hundred euros (€100).

11. Force Majeure

NeoCru shall not be liable for any delay or failure in performance resulting from events beyond our reasonable control, including but not limited to natural disasters, acts of government, labor disputes, or cyber-attacks.

12. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid or unenforceable provision will be replaced by a valid and enforceable provision that most closely reflects the parties' original intent.

13. Assignment

NeoCru may assign, transfer, or delegate its rights and obligations under these Terms without your prior consent. You may not assign, transfer, or delegate your rights or obligations under these Terms without NeoCru's prior written consent, and any unauthorized assignment shall be null and void.

14. Dispute Resolution and Arbitration

Informal Resolution First: Before pursuing formal legal action, you agree to first contact NeoCru at hiwafeiziii@gmail.com to attempt to resolve any disputes informally within 30 days.

Binding Arbitration: If the dispute is not resolved through informal negotiation, both parties agree to resolve any dispute, controversy, or claim arising out of or relating to these Terms through binding arbitration administered by the Netherlands Arbitration Institute (NAI) in Amsterdam, the Netherlands, under its Arbitration Rules.

Class Action Waiver: You agree that any arbitration or proceeding will be limited to the dispute between you individually and NeoCru, and that you will not bring claims as a plaintiff or class member in any class, collective, or representative action.

Jurisdiction for Non-Arbitrable Claims: If a dispute is determined by law to be not subject to arbitration, you agree that it shall be resolved exclusively in the competent courts located in the Netherlands, and you hereby submit to the personal jurisdiction of those courts.

15. Feedback and Improvement

If you submit feedback, suggestions, or ideas ("Feedback") related to NeoCru, you grant us a non-exclusive, perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, distribute, and incorporate that Feedback into our Service, products, and operations without any obligation to compensate you or acknowledge your contribution. We value your feedback, but submission is entirely voluntary and does not create any confidentiality obligation.

16. Modifications to These Terms

We reserve the right to update, change, or replace any part of these Terms at our discretion. Significant changes will be communicated through a notice on our website, and where appropriate, via email or in-app notification. Because NeoCru is growing and evolving quickly, we encourage users to review these Terms regularly. Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.
